This subject provides students with the opportunity to pursue advanced study in corporate law. Coverage includes corporate finance (including debt and equity finance, securities and regulation of fund raising activities); corporate control transactions (includng takeovers, reorganisations, amagulations, schemes of arrangement and compromises, self-acquisition, reduction of capital and restrictions on financial assistance); corporate capacity and the corporation's civil and criminal liability.
Learning Outcomes
- describe options for corporate fundraising, provision of securities, dealing with securities and regulation of fundraising activities;
- describe corporate capacity and the corporation's liability for civil and criminal wrongs;
- describe corporate control transactions (including takeovers, reorganisations, amalagations, schemes of arrangements, compromises, self-acquisitions, reductions of capital and restrictions on provision of financial assistance).
