Company and Partnership Law

Prerequisites: Level 2 LA subjects

Available to level 3 LLB students or combined degree students.

The law relating to the capacity, operation and regulation of partnerships, associations and corporations. Two thirds of the subject is devoted to corporations in particular to the study of incorporation, corporate constitutions, share capital and membership, company credit and security arrangements, internal and external management of corporations, takeovers and the securities market.

Learning Objectives:

  1. a knowledge and understanding of the legislation, cases and underlying principles affecting partnership, associations and corporations;
  2. ability to apply the law to given factual situations;
  3. ability to analyse and assess the law.

Assessment by assignments (15%); tutorials (15%); written examinations (70%) (subject to variation).
